GS Holdings Addresses SIAS Concerns on $11.8M ODN Acquisition and Board Appointment

GS Holdings’ Bold Move: Strategic Acquisition & Leadership Shakeup

GS Holdings’ Bold Move: Strategic Acquisition & Leadership Shakeup

GS Holdings Limited has announced a significant business move that could impact its share value, as it seeks to acquire Octopus Distribution Networks Pte. Ltd. (ODN) for \$11.8 million. This acquisition, detailed in the company’s Extraordinary General Meeting (EGM) Circular dated 27 November 2024, has raised several pertinent questions from the Securities Investors Association (Singapore) (SIAS).

Key Financial Insights and Due Diligence

The acquisition’s financial implications were scrutinized, with SIAS inquiring about ODN’s historical financial performance, including revenue, net assets, and cash flow. GS Holdings affirmed that relevant information has been disclosed in compliance with SGX Catalist Rules. The company emphasized the rigorous due diligence conducted by third-party professionals, under the guidance of Evolve Capital Advisory Private Limited, ensuring both commercial and financial evaluations were thorough.

Strategic and Financial Merits

The Board of GS Holdings outlined the strategic value of the acquisition in their Circular and press release dated 23 October 2024, highlighting how the acquisition aligns with the company’s growth strategy. The proposed terms include comprehensive undertakings and warranties to mitigate transaction risks, safeguarding shareholder interests.

Leadership Changes and Share Capital Implications

Another critical aspect of the acquisition is the proposed issuance of consideration shares to the vendor, Octopus Global Hldgs Pte. Ltd., which will lead to a 16.01% stake in GS Holdings’ enlarged share capital. This transaction also involves the appointment of Teh Chooi Peng, known as Dato Elaine Teh, as a director, pending shareholder approval and clearance from relevant committees and regulators.

Valuation Process and Independent Review

FHMH Corporate Advisory Sdn Bhd was appointed as the independent valuer for the acquisition. The selection of a Malaysian-based valuer, despite the Singapore-centric operations of ODN, was justified by the valuer’s certification and prior experience with SGX-listed companies. The valuation involved the capital asset pricing model (CAPM), with key assumptions closely reviewed by the Board and independent directors.

Potential Impact on Share Value

This strategic acquisition and the associated leadership changes could significantly influence GS Holdings’ market positioning and share value. Shareholders and potential investors should consider the detailed financial assessments and strategic implications outlined in the EGM Circular and associated documents.
