Keppel DC REIT has unveiled a significant equity fundraising initiative, targeting gross proceeds of approximately S\$1 billion. This strategic move is designed to finance key acquisitions and bolster the company’s financial flexibility, potentially influencing shareholder value and market perception.

Key Details of the Fundraising

The equity fundraising comprises three primary components:

  • Private Placement: Keppel DC REIT aims to raise a minimum of S\$600 million through private placement. The issue price is set between S\$2.074 and S\$2.128 per unit.
  • Preferential Offering: Entitled Unitholders are offered units on a pro-rata basis, priced between S\$2.03 and S\$2.08, raising approximately S\$300 million.
  • Sponsor Subscription: Keppel DC Investment Holdings Pte. Ltd. will subscribe to units worth around S\$85 million, aligning interests with other Unitholders.

Strategic Purpose and Use of Proceeds

The proceeds are earmarked to partially finance the acquisition of interests in two data centers, Keppel DC Singapore 7 and 8, and to manage existing debt and future capital expenditures. Specifically, S\$888.2 million will be directed towards these transactions, with the remainder covering associated fees and expenses.

Potential Impact on Shareholders

Shareholders should note the potential dilution of their holdings due to the issuance of approximately 466.9 million new units, representing a 27.1% increase in total units. However, this move is expected to enhance trading liquidity and strengthen Keppel DC REIT’s balance sheet, reducing aggregate leverage from 39.7% to 33.3%.

Commitments and Undertakings

Keppel DC Investment Holdings and Keppel DC REIT Management have committed to fully subscribe to their entitled units, signaling strong internal confidence in the REIT’s growth trajectory.

Regulatory Approvals and Timelines

SGX-ST has granted approval in principle for the new unit issuance, contingent on compliance with listing regulations. The Private Placement is scheduled to close on 20 November 2024, with new units expected to commence trading on 28 November 2024.
