Foxconn (Far East) Limited to Acquire Major Stake in Maxnerva Technology Services Limited and Launch Mandatory Cash Offers
Key Details of the Transaction
- Foxconn (Far East) Limited (“Offeror”) has entered into a conditional share purchase agreement (SPA) to acquire a 33.85% stake (239,050,141 shares) in Maxnerva Technology Services Limited (“Maxnerva”) for HK\$152,370,559 in cash (HK\$0.6374 per share).
- The SPA was signed on July 27, 2026, after trading hours. Sellers are FSK Holdings Limited (“FSK”) and FDG Fund, L.P. (“FDG Fund”), both concert parties of Foxconn.
- Upon SPA completion, Foxconn will directly hold 285,730,141 shares, representing 40.46% of Maxnerva’s issued share capital. FSK and FDG Fund will exit their positions completely.
- Following SPA completion, Foxconn will be required to make a mandatory conditional cash offer (“Share Offer”) for all remaining Maxnerva shares not already owned or agreed to be acquired by the Offeror or its concert parties, at the same price of HK\$0.6374 per share.
- Foxconn will also make an offer to cancel all outstanding options at “see-through” prices based on the exercise price of each option.
Price-Sensitive and Shareholder-Impacting News
-
The Share Offer price represents a significant premium to recent trading prices:
- 55.46% premium over the last closing price of HK\$0.4100 per share before announcement.
- Premiums of 56.23%, 57.38%, and 43.66% over the 5-day, 10-day, and 30-day average closing prices, respectively, preceding the announcement.

- The maximum cash consideration for full acceptance of both the Share Offer and Option Offer could reach approximately HK\$272.34 million.
- The offers are conditional on completion of the SPA and on Foxconn and its concert parties gaining control of more than 50% of Maxnerva’s voting rights via valid acceptances.
- There is a risk that the SPA and the Offers may not complete if conditions are not met, including regulatory approval from the Vietnam Competition Commission and no material adverse events.
- Foxconn intends to maintain Maxnerva’s listing status on the Hong Kong Stock Exchange and ensure adequate public float post-offer, but also reserves the right to review and possibly change Maxnerva’s business, structure, or management after acquisition.
- All directors nominated by FSK, which is a seller and concert party, will not be involved in the independent board committee reviewing the offer.
- Shareholders should be aware that, if the Offer is successful, Foxconn will have controlling influence over Maxnerva, which could impact future strategy and operations.
