EC World Asset Management Pte. Ltd., as the manager of EC World REIT, has released a comprehensive update on a critical legal development that exposes the REIT to significant financial risk. The issue centers around a guarantee (executed on 31 December 2021) provided to Hangzhou Fenhua Investment LLP (HZFH), a major creditor of ECW’s Sponsor, Forchn Holdings Group Co., Ltd.

Background of the Dispute

In 2018, HZFH invested RMB 3 billion into Unilogix Co., Ltd. (the “Target Company”), obtaining a 59.41% equity stake. The Sponsor agreed to buy back this stake under certain conditions, documented in an equity repurchase agreement. Beigang and four other entities outside the ECW group signed a guarantee for the Sponsor’s obligations. Importantly, ECW had no knowledge of this guarantee, nor did it authorize it; the Sponsor’s personnel affixed ECW’s company seals without permission, bypassing the internal electronic approval system.

Legal Proceedings and Judgement

After the Sponsor defaulted, HZFH pursued litigation. Initially, Beigang was removed from the first lawsuit through mediation. However, following the Sponsor’s failure to pay, HZFH filed a second lawsuit, and the Hangzhou Intermediate People’s Court issued a judgement on 6 May 2026, holding Beigang and others jointly liable for RMB 3.515 billion. Beigang’s challenge that the guarantee was unauthorized was rejected, with the court finding HZFH to be a bona fide creditor.

Beigang has joined the appeal, with the case scheduled for 11 August 2026. Until that appeal concludes, the judgement cannot be enforced.

Findings from Manager’s Investigation

  • The December 2021 Guarantee was executed entirely under the Sponsor’s instruction and approval processes, not ECW’s. The custodian of ECW’s stamps, a property management company wholly owned by the Sponsor, released the seals without following ECW’s internal procedures.
  • 24 other entities (outside ECW) also provided guarantees and various securities for the Sponsor’s obligations between 2019–2023.
  • ECW only learned of the lawsuits and guarantee after the fact, receiving incomplete information due to notification issues (including failed service because of construction fencing at Beigang’s offices).
  • The Sponsor’s current management claims no involvement in the original transaction and asserts that all responsible personnel have left the company, making further investigation difficult.

Should Beigang be required to pay the judgement, it would almost certainly face bankruptcy and liquidation, with minimal or no recovery for ECW or its unitholders.

The Manager is considering ringfencing Beigang to shield the rest of ECW from the fallout and is reviewing all options to protect unitholder interests.
