JB Foods Limited Responds to Shareholders’ Questions on 2026 Annual Report, Cocoa Prices, and Executive Remuneration

  • Cost Pass-Through & Customer Demand: JB Foods adopts a cost-plus pricing model, passing cocoa bean cost increases to customers. However, the Group warns that sustained periods of high cocoa bean prices may negatively affect chocolate consumption and customer demand, potentially impacting sales and production volumes.
  • Cocoa Bean Price Volatility: The Group does not provide forward guidance on cocoa prices but continues to monitor global supply and demand conditions. The company refers shareholders to the International Cocoa Organization for price trends and market statistics.
  • Hedging Activities: JB Foods undertakes hedging activities strictly to manage price exposure from its physical cocoa purchase and sales commitments. The company does not engage in proprietary or speculative trading. The hedging policy is periodically reviewed by management and the risk management committee.
  • Executive Remuneration and Governance: The remuneration of Executive Directors increased significantly in FY2026, mainly due to higher performance-based bonuses under a profit-sharing framework reflecting the Group’s strong financial results. Notably, while no Remuneration Committee (RC) meeting was recorded during FY2026 due to a change in the company’s financial year-end, the RC met shortly after the year-end to review and recommend remuneration outcomes. The Board emphasized that the remuneration framework remains aligned with shareholder interests and is governed by established policies.
