Details of the Equity Disposal

SMIT Holdings Limited (Stock Code: 2239) has announced that it will convene an Extraordinary General Meeting (EGM) for shareholders to consider and approve a significant equity disposal transaction. The Company, through its subsidiary SMIT Group Limited, has entered into an Equity Transfer Agreement dated 2 April 2026 to sell RMB 100 million of registered capital in Shenzhen Giga Design Automation Co., Ltd. This stake amounts to 7.8125% of the total registered capital and 8.9835% of the paid-in capital of Shenzhen Giga.

The purchaser is Shanghai Linke Xinlun Venture Capital Partnership (Limited Partnership). Should the transaction be approved, it will result in a material change in the Company’s investment portfolio, potentially impacting the future income stream and strategic direction of SMIT Holdings.
