Tritech Group Limited, together with its subsidiaries, had previously announced a proposed placement and the granting of call and put options as part of a wider strategic transaction.
As per the prior agreements and announcements, the Tranche 1 Placement Shares were to be placed out by 5 May 2026, within seven (7) market days after the receipt of the LQN dated 23 April 2026.
However, the Placee has communicated to the Company that additional time is needed to process the S\$1,000,000 placement consideration due to banking procedures.
This delay means that the required shares will not be issued by the deadline, causing the current LQN to lapse.
Importantly, this means that the proposed capital inflow of S\$1,000,000 will not materialize until further notice, which could impact the Company’s immediate liquidity and funding plans.
The Company is currently negotiating a new timeline with the Placee and will only proceed with the issuance of shares and apply for a new LQN after the funds are received.
The Board, led by Managing Director Dr. Wang Xiaoning (Jeffrey Wang), has emphasized that shareholders and potential investors should exercise caution when dealing in Tritech shares, as the outcome of the placement and the timing of the cash inflow remain uncertain.
The Company’s sponsor, UOB Kay Hian Private Limited, has reviewed this announcement but it has not been examined or approved by the Singapore Exchange Securities Trading Limited (SGX-ST).
