Keppel Infrastructure Trust Announces Strategic Acquisitions and Divestment

Keppel Infrastructure Trust Announces Strategic Acquisitions and Divestment for 2H2025

Keppel Infrastructure Trust (KIT), through its trustee-manager Keppel Infrastructure Fund Management Pte. Ltd., has released a significant update for the period from 1 July 2025 to 31 December 2025, which includes major acquisitions and a notable divestment that are likely to be of keen interest to shareholders and investors.

Key Highlights

  • Acquisition of 46.7% Stake in Global Marine Group (GMG): KIT has completed the acquisition of a substantial 46.7% stake in Global Marine Group (GMG). This transaction, previously announced and approved by KIT unitholders at an extraordinary general meeting on 11 November 2025, marks a strategic investment that brings Pangea UK Holdco Limited and its subsidiaries (including GMG) into KIT’s portfolio as associated companies. Investors should note that details and terms of this investment were previously disclosed in announcements dated 1 April 2025 and the unitholder circular on 22 October 2025.
  • Acquisition of Hilditch Pty. Ltd.: KIT, through its indirect wholly-owned subsidiary Ixom Holdings Pty Ltd, completed the acquisition of 100% of Hilditch Pty. Ltd. on 31 October 2025. The purchase price was approximately A\$62.1 million, paid fully in cash, and the transaction was concluded on a willing-buyer and willing-seller basis. Hilditch is recognized as a leading distributor of base and refined oils in Australia. Prior to the acquisition, Hilditch had a net asset value of A\$36.7 million. With this acquisition, Hilditch is now a wholly-owned subsidiary of KIT, enhancing KIT’s exposure to the oil distribution sector in Australia.
  • Divestment of Minority Stake in Ventura Motors Pty. Ltd.: KIT completed the divestment of an approximately 24.6% minority stake in Ventura Motors Pty. Ltd. to investment funds managed by Samsung Asset Management on 12 August 2025. The transaction was valued at around A\$130.0 million, paid in cash, reflecting a net asset value of A\$99.0 million for the divested stake. Following this divestment, KIT’s holding in Ventura is reduced to approximately 73.1%, with a minority shareholder retaining 2.3%.

Important Information for Shareholders

  • Strategic Portfolio Reshaping: These transactions reflect KIT’s ongoing strategy to optimize its portfolio, diversify its sector exposure, and unlock value through selective divestments and acquisitions. The inclusion of GMG and Hilditch is expected to enhance KIT’s income streams and provide growth opportunities, while the partial divestment of Ventura Motors realizes value for existing assets.
  • Potential Impact on Share Value: The successful execution of these transactions may be price-sensitive as they involve significant capital deployment and realignment of KIT’s asset base. Investors may anticipate changes in future earnings profiles, asset composition, and possibly distributions as a result of these strategic moves.
  • Risk Disclosure: KIT has reiterated that the value of its units and the income derived from them may fluctuate, and investments in the trust are not guaranteed. Unitholders can only trade their units on the SGX-ST, and listing does not ensure liquidity. Past performance is not indicative of future results.

Conclusion

The completion of these acquisitions and the strategic divestment represent substantial developments for Keppel Infrastructure Trust. The moves are likely to have a material impact on the trust’s future growth prospects, risk profile, and financial performance, making them highly relevant for investors and market watchers.
