OUE REIT Secures S\$300 Million Unsecured Facility — Key Terms, Shareholder Triggers, and Implications for Investors
OUE Real Estate Investment Trust (OUE REIT), managed by OUE REIT Management Pte. Ltd., has announced the execution of a significant new financing arrangement, securing a S\$300 million unsecured facility with a maturity date of 31 July 2026.
Key Highlights of the Facility Agreement
- Facility Size and Use of Proceeds: The S\$300 million unsecured facility will be used for financing OUE REIT’s and its group’s property investments in Singapore and overseas, capital expenditure, working capital requirements, general corporate purposes, refinancing existing loans and bonds, and payment of fees and expenses related to the facility.
- Conditions and Restrictions: Utilisation of the facility is subject to conditions laid out in the facility agreement, which includes specific provisions linked to the ownership interests of OUE Limited (the “Sponsor”) and management continuity.
Important Shareholder-Linked Provisions — Potential Price Sensitive Triggers
- Change of Control Clauses:
- Mandatory Prepayment: If OUE Limited ceases to own (directly or indirectly) at least 51% of the issued and fully paid ordinary shares in OUE REIT Management, or if OUE Limited ceases to have “Effective Control” as defined in the agreement, the lender may require mandatory prepayment of all outstanding loans, accrued interest, and other outstanding amounts under the facility.
- Event of Default — Sponsor’s Ownership: If OUE Limited falls below a 20% ownership (directly or indirectly) of the OUE REIT Trust Units, it will trigger an event of default under the facility agreement.
- Event of Default — Management Change: If OUE REIT Manager resigns or is removed as manager of OUE REIT without prior written consent from the lender (unless replaced by an affiliate of the Sponsor or a reputable manager), this will also constitute an event of default.
- Potential Cross-Defaults: If any of these events occur, not only will the S\$300 million facility be affected, but also existing outstanding borrowings of OUE REIT, which collectively amount to approximately S\$2.73 billion. This could trigger cross-defaults on multiple facilities and debt securities, amplifying financial risk and potentially impacting OUE REIT’s share price.
Current Status
As of the date of the announcement, none of these triggering events have occurred. The Sponsor, OUE Limited, continues to meet the required ownership thresholds, and OUE REIT Management remains in place.
Implications for Shareholders and Investors
- The facility’s change-of-control and event-of-default clauses are material and could significantly impact OUE REIT’s financial stability and market perception if triggered. Any reduction of the Sponsor’s stake below the specified thresholds, or a change in management without lender consent, could result in mandatory loan repayment and cross-defaults, which may affect OUE REIT’s liquidity position and share value.
- Investors should closely monitor OUE Limited’s shareholding in OUE REIT and any management changes, as these could have immediate and far-reaching consequences for the trust’s financial health and unit price.
Forward-Looking Statements and Risks
The announcement contains forward-looking statements subject to various risks and uncertainties, including changes in economic conditions, property income, operating expenses, and government policy. Past performance is not indicative of future results, and the value of OUE REIT units may fluctuate.

OUE REIT
