Keppel REIT Unlocks Value with Strategic Divestment of KR Ginza II in Tokyo

Keppel REIT Management Limited has announced a significant transaction involving the divestment of its 98.47% stake in KR Ginza II, a freehold boutique office building located in the heart of Tokyo. The remaining 1.53% interest, held by Keppel Japan K.K., will also be sold as part of the deal. The property will be sold to a listed Japanese real estate company, with the entire transaction valued at JPY 11.52 billion. The completion of the divestment is expected in the third quarter of 2026.

Key Points of the Transaction

  • Attractive Premium: The sale price represents a 28.4% premium over the acquisition price in November 2022, and is 9.7% above its latest valuation as of 10 July 2026.
  • Portfolio Optimisation: The divestment supports Keppel REIT’s ongoing strategy of disciplined portfolio management and capital recycling, enabling the trust to unlock value at an opportune time.
  • Financial Impact: On a pro forma basis, if the net sale proceeds are used for debt repayment, aggregate leverage is expected to improve from 40.0% to 39.6%.
  • Portfolio Metrics: Post-divestment, Keppel REIT will maintain a portfolio committed occupancy of 96.0%, a weighted average lease expiry (WALE) of 4.5 years, and a portfolio value of approximately S\$11.7 billion across 13 properties in Singapore (79.3%), Australia (18.5%), and South Korea (2.2%).
  • Property Details: KR Ginza II is an eight-storey freehold office building with a retail unit on the ground floor, offering a net lettable area of 3,594 square metres. It was acquired in November 2022.

Management Commentary

Mr Chua Hsien Yang, CEO of Keppel REIT Management, commented: “The proposed divestment of KR Ginza II at an attractive premium demonstrates Keppel REIT’s ability to identify strategic investment opportunities and unlock value at the right time. It also reflects our disciplined approach to portfolio management and capital allocation. The transaction allows us to crystallise value while enhancing our financial flexibility as we seek to deliver sustainable, long-term total returns to Unitholders.”

Important Considerations for Shareholders

  • Potential Share Price Impact: The divestment at a significant premium (both to purchase price and recent valuation) and the improvement in leverage could be seen as positive indicators for investors, potentially supporting the share price.
  • Capital Recycling: This move provides Keppel REIT with additional financial flexibility, possibly setting the stage for future acquisitions, debt reduction, or capital returns to shareholders.
  • Strategic Focus: The transaction underlines Keppel REIT’s focus on enhancing the quality and resilience of its portfolio by recycling capital from non-core or mature assets.
  • Ongoing Portfolio Strength: Despite the sale, the REIT maintains strong occupancy levels and a substantial portfolio value, ensuring income stability.
