Cadiz Inc. His expertise is expected to be instrumental as Cadiz moves into its next phase of commercial growth and execution.

Hernandez is the founder and principal of Cummings Consulting & Management, advising corporations and boards on capital allocation, M&A, and capital markets strategy. Before this, he spent 22 years with Capital Group and Capital World Investors, serving as Partner and Investment Analyst. He has a strong track record in equities, convertible securities, and high-yield debt, and has served on the boards of major companies including Pioneer Natural Resources (NYSE: PXD), Altria Group (NYSE: MO), Aris Water Solutions (NYSE: ARIS), Coterra Energy (NYSE: CTRA), and Devon Energy (NYSE: DVN), with responsibilities encompassing audit, governance, nominating, and ESG committees.

Hernandez holds a Bachelor of Science in Economics from Stanford University, with a minor in Political Science.

Equity Awards and Compensation Details

In connection with his appointment, Hernandez will receive significant equity inducement awards, subject to approval by the company’s compensation committee:

  • 800,000 Restricted Stock Units (RSUs): 200,000 RSUs will vest immediately upon grant, and the remaining 600,000 will vest in twelve equal quarterly installments over three years, contingent on continued employment.
  • 800,000 Performance Stock Units (PSUs): These will vest in four tranches of 200,000 units each, based on the company’s common stock achieving specific price hurdles. Any tranche not achieved within five years will be forfeited.

These awards are granted outside of Cadiz’s 2019 Equity Incentive Plan, pursuant to Nasdaq Listing Rule 5635(c)(4).
