In-Depth Financial Performance
Earnings and Profitability
Bank of Marin Bancorp (“Bancorp”) delivered another quarter of improved financial performance, driven by expanded net interest margin, focused expense management, and strengthened capital ratios. Net income for Q2 2026 was \$9.2 million, up from \$8.5 million in Q1 2026. This compares favorably to a net loss of \$8.5 million in Q2 2025 (when excluding portfolio repositioning losses, non-GAAP net income was \$4.7 million).
Diluted EPS was \$0.58, up from \$0.53 in the prior quarter and a loss per share of \$0.53 in Q2 2025. On a non-GAAP basis, EPS doubled year-over-year. Returns on average assets (ROA) and equity (ROE) improved to 0.96% and 9.38% respectively, with return on average tangible common equity at 11.56%. These metrics reflect enhanced profitability and efficient capital use.
Net Interest Income and Margin
Net interest income reached \$30.8 million, a \$479,000 increase from Q1 2026. The tax-equivalent net interest margin improved to 3.38% (from 3.24% in Q1), driven by an 8 basis point rise in loan yields, a 7 basis point reduction in deposit costs, and strategic use of one-way sales of deposits. The average cost of interest-bearing deposits dropped from 2.10% to 2.04%, and the average cost of total deposits decreased to 1.28%. Non-interest-bearing deposits comprised a healthy 36.7% of the deposit base.
Expense Discipline
Non-interest expense declined to \$21.6 million, down \$942,000 quarter-over-quarter. This reduction was largely due to lower salary and benefits expense and the seasonality of charitable contributions (mainly incurred in Q1). Professional services and audit-related costs increased slightly, but were offset by the overall expense reductions.
Loan Portfolio and Credit Quality
Gross loans ended the quarter at \$2.1 billion, a \$14.7 million decrease from Q1, primarily due to the planned exit of \$19 million in special mention loans tied to a single relationship, which also reduced wine industry exposure. New loan fundings were strong at \$62.8 million, up 24% year-over-year. Non-accrual loans declined to \$8.5 million (0.40% of total loans), and classified loans rose slightly due to downgrades (with \$785,000 subsequently paid off). The allowance for credit losses remained stable at 1.07% of loans.
The Bank recorded a \$320,000 reversal of provision for credit losses in Q2, reflecting improved portfolio quality. Net charge-offs were minimal (\$39,000), a sharp reduction from \$7.3 million in Q1, which had been fully reserved.
Deposits, Liquidity, and Capital
Total deposits stood at \$3.37 billion, down 1.7% sequentially due to seasonal outflows, a few large customer movements, and tax payments—not indicative of broader deposit flight. Nearly 1,000 new accounts were opened during the quarter, with 42% being new customer relationships. Liquidity was robust, with \$2.177 billion in available funding sources (unrestricted cash, unencumbered securities, and borrowing capacity), and no short-term borrowings.
All capital ratios improved and remained well above regulatory minimums. The tangible common equity (TCE) ratio increased to 8.52%. Book value per share and tangible book value per share rose to \$24.51 and \$19.92, respectively.
Bancorp issued \$45 million in Fixed-to-Floating Subordinated Notes in late 2025, further strengthening its capital base. The notes carry a 6.75% fixed rate through December 2030, after which the rate becomes floating.
Non-Interest Income
Non-interest income was \$3.2 million, down \$665,000 from Q1 2026, reflecting lower FHLB dividend income (Q1 included a special dividend), and non-recurring life insurance benefits. This was partly offset by higher fee income from one-way sales of deposits.
Shareholder Returns and Repurchase Activity
Bancorp declared a \$0.25 per share dividend, marking its 85th consecutive quarterly payout. The authorized \$25 million share repurchase program remains in place through July 2027, with \$23.9 million still available. No shares were repurchased in Q2 2026.
Management Commentary and Outlook
“Our profitability continued to benefit from the successful balance sheet restructuring actions we implemented over the past year, along with positive trends in higher-yielding loan originations, prudent expense management, and disciplined deposit pricing strategies,” said President & CEO Tim Myers. “Those efforts contributed to continued net interest margin expansion and stronger capital ratios during the quarter. While period-end loan balances declined due to the substantial planned exit within one relationship, healthy loan production and a meaningful decline in criticized loans reflect our ongoing focus on strengthening the balance sheet and improving credit quality.”
“We remain committed to actively managing our balance sheet to support our strategic growth while balancing profitability, liquidity, interest rate risk, and capital management,” added CFO Dave Bonaccorso.
