3DG Holdings (International) Limited Annual Report 2025/26 – Key Investor Insights

3DG Holdings (International) Limited Annual Report 2025/26: In-Depth Investor Update

Operational and Financial Highlights

  • Significant Revenue Growth: The Group’s total revenue surged 94% to HK\$1,384 million for the year ended 31 March 2026, up from HK\$711.5 million the prior period. This dramatic growth was mainly driven by a 102% rise in Mainland revenue and a 66% increase in Hong Kong, Macao, and Overseas revenue.
  • Expansion of Distribution Network: The Group operated 259 stores as of 31 March 2026, compared to 238 stores a year earlier, covering Hong Kong, Mainland China, and Thailand.
  • Segment Performance:
    • Hong Kong, Macao & Overseas: Revenue increased 66% to HK\$250 million. The division turned around from a segment loss of HK\$41 million to a profit of HK\$7 million, and adjusted segment profit soared from a loss of HK\$8 million to a profit of HK\$52 million.
    • Mainland China: Revenue climbed 102% to HK\$1,134 million. However, the segment loss widened by 124% to HK\$191 million, though after adjusting for gold hedging losses, adjusted segment profit was HK\$170 million, up 226%.
    • Retailing: Revenue up 104% to HK\$1,312 million. Segment loss increased 34% to HK\$176 million, but adjusted segment profit reached HK\$219 million, a 526% improvement.
    • Licensing: Revenue decreased 24% to HK\$22 million, and the segment turned from a profit of HK\$10 million to a loss of HK\$1 million.
  • Improvement in Key Metrics: Adjusted segment profit for the Group was HK\$222 million, up 403%, with an adjusted segment profit margin of 16%, up 10 percentage points.
  • Inventory and Gearing:
    • Group inventories rose 70% to HK\$1,822 million, with gold and fixed price gold inventories up 95% to HK\$1,555 million.
    • Net borrowings increased 42% to HK\$2,886 million, and adjusted net borrowings jumped 80% to HK\$2,410 million.
    • Net gearing ratio deteriorated to -506% from -480%.
    • Debt-to-equity ratio increased to 620% from 556%.
  • Losses and Profitability: Despite the strong revenue growth, the Group reported a total comprehensive loss attributable to shareholders of HK\$147.3 million, up from a loss of HK\$109.4 million in the prior period.

Strategic and Market Developments

  • Gold Price Volatility: The Group faced a sharply rising and volatile gold price during the year, peaking before a correction in March 2026. New VAT policies in Mainland China increased procurement costs for gold, but did not significantly dampen consumer demand.
  • Geopolitical and Regulatory Risks:
    • Ongoing China-US tensions, US tariff policies, and global geopolitical uncertainty continue to impact supply chains, capital flows, and market sentiment.
    • Changes in cross-border trade policies and product origin classification could affect export arrangements and pricing strategies.
    • The Group’s financial position remains sensitive to regulatory changes, including anti-money laundering, consumer protection, and sanctions compliance.
  • Operational Risks:
    • Rising rents and gold price fluctuations remain key risks to profitability. The Group maintains a gold hedging policy (25-30%) to mitigate gross margin risks.
    • Competition in the jewellery industry is intense, especially in Mainland China.
    • Inventory turnover days increased significantly, indicating potential inventory management challenges.
  • Cybersecurity and Intellectual Property: The Group is enhancing cybersecurity measures due to increasing threats, especially with AI-driven cybercrime, and is closely monitoring and enforcing intellectual property rights in Mainland China.
  • E-Commerce Expansion: Mainland e-commerce business revenue grew 128% to HK\$311 million, now accounting for 29% of Mainland retail revenue and 24% of Group retail revenue. Gold and platinum products comprise 97% of e-commerce sales.

Corporate Governance and Shareholder Information

  • Corporate Governance: The Company complies with the Corporate Governance Code, except for the combined role of Chairman and CEO, which is considered beneficial for business development in the Mainland market.
  • Related Party Transactions: Extensive transactions with subsidiaries of Luk Fook (controlling shareholder) include significant gold and material supply agreements. These relationships are price-sensitive and could impact future results and share values if terms or relationships change.
  • Top Shareholders: The Wong family and related trusts (through Luk Fook and associates) retain a controlling interest, holding over 70% of the Group’s shares.
  • No Dividend Declared: No final dividend was proposed for FY2026. The Company also had no distributable reserves as at 31 March 2026, which may disappoint income-focused investors.
  • Major Customers and Suppliers: The five largest customers contributed less than 10% of revenue, while the five largest suppliers accounted for 65% of purchases. Two of these suppliers are Luk Fook subsidiaries, indicating supplier concentration risk and related party reliance.
  • Audit and Financial Control: PricewaterhouseCoopers was appointed auditor in December 2024, replacing Crowe (HK) CPA Limited.

Outlook and Price-Sensitive Issues

  • Growth with Ongoing Losses: While the Group’s revenue expansion and e-commerce growth are impressive, the persistent losses, high gearing, and rising inventory levels may raise concerns about long-term profitability and financial sustainability.
  • Reliance on Luk Fook for Financing: The Group’s continued reliance on interest-free and interest-bearing loans, as well as gold loans from Luk Fook fellow subsidiaries, is a material risk. Luk Fook has confirmed its intention not to demand repayment within the coming 12 months, supporting going concern assumptions. However, any change in this stance would be highly price sensitive.
  • Potential Triggers for Share Price Movement:
    • Continued double-digit same-store sales growth in both Mainland and Hong Kong markets could support a positive re-rating if sustained.
    • Any signs of profitability improvement, cost control, or reduction in net losses may drive positive sentiment.
    • Conversely, any deterioration in relationships with Luk Fook, regulatory shocks, or inability to manage gold price and inventory risks could negatively affect the share price.
    • No dividend and ongoing losses may continue to weigh on share valuation for the near term.
