Ciena Prices Upsized $2.5 Billion 0% Convertible Senior Notes Due 2031 with Concurrent Stock Buyback and Hedge Transactions

Ciena Corporation Announces Pricing of Upsized Convertible Senior Notes Offering

Ciena Corporation Prices \$2.5 Billion Upsized Convertible Senior Notes Offering

Hanover, Md. – June 8, 2026: Ciena Corporation (NYSE: CIEN), a global leader in high-speed connectivity solutions, has announced the pricing of an upsized private offering of \$2.5 billion aggregate principal amount of 0.00% convertible senior notes due 2031. This announcement is a significant development for the company and its shareholders, as the offering size was increased from the previously announced \$2.0 billion due to robust demand. The notes will be fully and unconditionally guaranteed on a senior unsecured basis by certain wholly-owned domestic subsidiaries of Ciena.

Key Highlights of the Offering

  • Offering Size: \$2.5 billion aggregate principal amount of convertible senior notes with a 0.00% coupon maturing on September 15, 2031. The company also granted initial purchasers an option to buy up to an additional \$375 million within 13 days from the issue date, potentially increasing the offering size further.
  • Conversion Terms: The initial conversion rate is 1.3393 shares per \$1,000 principal amount, equating to a conversion price of approximately \$746.66 per share—a 60% premium to the last reported CIEN stock price of \$466.67 on June 8, 2026.
  • Use of Proceeds:
    • Approximately \$100 million to pay the net cost of convertible note hedge transactions (offset by warrant transaction proceeds).
    • Approximately \$140 million to repurchase about 0.3 million shares of Ciena common stock at \$466.67 per share, executed concurrently with the offering through private transactions.
    • Approximately \$1.14 billion to repay amounts outstanding under its term loan and related fees and expenses.
    • The remainder for general corporate purposes, including investments to enhance supply chain capacity.
  • Potential Impact on Share Price:
    • The concurrent share repurchases may result in the company’s stock trading at higher levels than otherwise expected, possibly affecting the conversion premium and the price of the notes.
    • Ongoing and future share repurchases, as well as hedging activities associated with the convertible note hedge and warrant transactions, could also affect the trading price of both the company’s stock and the notes.
  • Redemption Terms:
    • Notes are non-redeemable by the company prior to September 20, 2029, except for a “cleanup redemption” if less than 10% of the original principal remains outstanding.
    • After that date, notes may be redeemed by the company, subject to certain conditions and limitations.
  • Hedge and Warrant Transactions:
    • Ciena entered into convertible note hedge transactions with the initial purchasers and other financial institutions, covering the same number of shares underlying the notes, to reduce dilutive effects or offset cash payments above the principal on conversion.
    • Simultaneously, the company entered into warrant transactions with a strike price of \$1,000 per share—a 114.3% premium over the last closing price. These warrants could dilute existing shareholders if the market price exceeds the strike price at maturity.
  • Hedging Activity:
    • Option counterparties may enter into derivative transactions or purchase CIEN shares to establish their hedges, potentially increasing the market price of CIEN stock and notes near the transaction dates.
    • These parties may also adjust hedges by buying or selling CIEN stock or related derivatives, impacting prices, especially during conversion or redemption events.
  • Offering Structure: The notes and guarantees are offered only to qualified institutional buyers under Rule 144A and are not registered under the Securities Act of 1933. They cannot be offered or sold in the U.S. without registration or an applicable exemption.

What Shareholders Need to Know

  • Share Repurchase: The company’s plan to repurchase \$140 million in stock at a premium price is expected to be price supportive and may provide a near-term boost to the share price.
  • Hedging & Warrant Transactions: While convertible note hedges aim to reduce dilution, the associated warrant transactions could have a dilutive effect if CIEN stock exceeds \$1,000 per share in the future.
  • Potential Market Volatility: The hedging activity by counterparties and the possibility of future conversions, redemptions, and share repurchases may introduce volatility to CIEN’s share price.
  • Leverage and Capital Allocation: Proceeds will reduce company leverage by repaying term loans and support supply chain investments, positioning Ciena for future growth in a high-demand, AI-driven networking market.
  • Conversion Premium: The 60% premium conversion price means significant upside is required before conversion is attractive, limiting near-term dilution but signaling management’s confidence in future growth prospects.
